Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SoshlPylt Ltd. ("Company," "we," "us," or "our") governing your access to and use of the soshlpylt Enterprise B2B Community Management and Analytics Dashboard, including its web interface, WhatsApp interface, connected API integrations, and all associated services (collectively, the "Platform").
By creating an account, connecting a social media account, or otherwise using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are accepting these Terms on behalf of an organization, you represent that you have full legal authority to bind that organization to this agreement.
If you do not agree to these Terms in their entirety, you must immediately cease access to and use of the Platform. Continued use constitutes your ongoing acceptance of any updated Terms.
Eligibility & Account Registration
2.1 - Eligibility Requirements
You must be at least 18 years of age and possess the legal capacity to enter into a binding contractual agreement under the laws of your jurisdiction. The Platform is designed exclusively for business users, marketing professionals, enterprise marketing teams, and B2B organizations. Use by individual consumers for non-commercial purposes is not within the intended scope of this service.
2.2 - Account Registration Obligations
You must provide accurate, current, and complete information during workspace configuration and account registration. You are solely responsible for maintaining the confidentiality of your account credentials, access tokens, and authentication state, and for all activity that occurs under your account - including actions taken through the WhatsApp interface associated with your registered phone number.
2.3 - Authorized Account Access
You represent and warrant that (a) you are the authorized account holder for any social media accounts you connect to the Platform, or (b) you have been expressly and verifiably authorized by the account holder to manage, publish to, and engage with audiences on their behalf using the Platform. Unauthorized connection of third-party accounts constitutes a material breach of these Terms.
Platform License
Subject to your full compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your internal business purposes. This license does not include the right to:
Sublicense, resell, or make the Platform available to third parties outside your authorized organization
Copy, modify, reverse-engineer, decompile, or create derivative works of the Platform's software
Use the Platform for any purpose other than B2B community management and analytics as described in this agreement
Circumvent, disable, or interfere with any technical or access control mechanisms of the Platform
Access the Platform through means other than the interfaces provided by the Company
Permitted & Prohibited Actions
Permitted Actions
Connecting your own YouTube channels and LinkedIn accounts (personal and organization pages you are authorized to manage) for analytics monitoring and content publishing
Drafting, reviewing, and publishing original content to your connected social media accounts using the Platform's AI-assisted drafting tools
Reading and responding to comments on your own YouTube videos and LinkedIn posts through the Platform's community management interface
Accessing and analyzing performance metrics, engagement data, and audience analytics for your authorized channels and accounts
Configuring workspace settings, notification preferences, and publishing schedules for your authorized organization
Prohibited Actions
Strict Prohibitions - Violation Grounds for Immediate Termination
Spam Distribution
You are prohibited from utilizing soshlpylt to generate, distribute, publish, or broadcast unsolicited commercial messages, bulk promotional content, or any communications that constitute spam under applicable law or that violate YouTube's Community Guidelines or LinkedIn's Professional Community Policies. This includes using the Platform's drafting or publishing features to mass-produce repetitive, low-quality, or misleading content at scale.
Automated Manipulation
You are prohibited from using soshlpylt to coordinate, facilitate, or execute automated manipulation of social platform engagement metrics - including artificial amplification of view counts, comment counts, reactions, subscriber counts, or any other engagement signal. Any use of the Platform to participate in coordinated inauthentic behavior, engagement schemes, or platform manipulation networks constitutes a material breach of these Terms.
Harassment Broadcasting
You are prohibited from using any feature of the Platform - including comment reading, comment reply, post drafting, or publishing - to harass, threaten, intimidate, defame, impersonate, stalk, or otherwise abuse any individual, organization, or community on YouTube, LinkedIn, or any other platform. This prohibition extends to coordinated harassment campaigns directed at any person or group.
Unauthorized Account Access
You are prohibited from connecting social media accounts to the Platform without the express, verifiable authorization of the legitimate account holder. Connecting accounts belonging to third parties - including competitors, public figures, or other organizations - without documented authorization constitutes fraud and grounds for immediate account termination and legal action.
Platform Policy Circumvention
You are prohibited from using soshlpylt in any manner that circumvents, disables, or interferes with YouTube's or LinkedIn's API rate limits, content moderation systems, access controls, or platform-level restrictions. Any use of the Platform designed to evade platform enforcement mechanisms is expressly prohibited.
Intellectual Property Infringement
You are prohibited from using the Platform to publish, distribute, or broadcast content that infringes any third party's copyright, trademark, trade secret, patent, or other intellectual property rights.
Your use of the Platform must comply in full with the YouTube Community Guidelines, YouTube Terms of Service, Google API Services User Data Policy, LinkedIn User Agreement, and LinkedIn API Terms of Use.
API Rate Limits & Third-Party Dependencies
5.1 - Nature of Third-Party API Dependency
soshlpylt integrates with the YouTube Data API v3 (operated by Google LLC) and the LinkedIn Community Management API and UGC Posts API (operated by LinkedIn Corporation) through their respective official, authorized API programs. These integrations depend on the continued availability, reliability, and policy stability of independent third-party services that are entirely outside the operational control of the Company.
API Availability - Limitation of Liability
The service latency, feature availability, and data freshness of soshlpylt's API-dependent capabilities are directly contingent on the operational status of the YouTube Data API v3, the LinkedIn Community Management API, Google's OAuth 2.0 infrastructure, LinkedIn's OAuth 2.0 infrastructure, and any other third-party service upon which the Platform relies. soshlpylt is not liable for any disruption, delay, degradation, data loss, or complete unavailability of features caused by or attributable to structural platform downtime, API rate limit enforcement, quota exhaustion, deprecation of API endpoints, policy changes, or any other change in the availability or behavior of any third-party API or service.
5.2 - API Rate Limit Acknowledgment
You acknowledge and accept that Google and LinkedIn impose API rate limits and quota restrictions on all third-party applications, including soshlpylt. These limits are set unilaterally by the respective platform operators and may be adjusted at any time without notice. Interruptions to Platform functionality resulting from API rate limit enforcement or quota exhaustion do not constitute a breach of these Terms and do not entitle you to a service credit or refund, unless explicitly provided in a separate written subscription agreement.
5.3 - Policy Change Adaptation
Google and LinkedIn may modify their API policies, data access scopes, rate limits, or terms of service at any time. Such modifications may require the Company to update, limit, or discontinue specific Platform features. The Company will make commercially reasonable efforts to adapt to such changes and maintain service continuity, but accepts no liability for feature limitations resulting from third-party policy changes.
5.4 - Token Refresh and Credential Management
You acknowledge that soshlpylt manages your OAuth access tokens and refresh tokens on your behalf to maintain continuous API access. In the event that a refresh token is revoked, invalidated, or expired - whether by the platform operator (Google or LinkedIn), by you, or by any other cause - you may be required to re-authenticate your account connection. The Company is not liable for interruptions to service resulting from token invalidation events outside its control.

You are solely and entirely responsible for all content you draft, review, schedule, publish, or distribute through the Platform, including content generated with the assistance of the Platform's AI drafting tools. The AI-assisted drafting feature generates suggestions based on your inputs; you retain full editorial control and bear complete legal responsibility for reviewing all content before publication and ensuring compliance with applicable law, platform community guidelines, and third-party rights.
The Company does not pre-screen, moderate, or review content you publish through the Platform and accepts no liability for the content of your social media posts, comment replies, or any other user-generated content transmitted through the Platform's publishing capabilities.
Data & Privacy
Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference and forms part of this binding agreement. The Privacy Policy describes in full how we collect, process, store, and protect your data, including data obtained through your connected social media accounts.
You represent and warrant that you have the authority to grant the Platform access to the social media accounts you connect, and that such connections comply with the applicable terms of service of Google, YouTube, and LinkedIn. You acknowledge that soshlpylt's use of Google API data adheres to the Google API Services User Data Policy, including the Limited Use requirements.
Intellectual Property
8.1 - Company Property
The Platform - including its software, architecture, design, trademarks, trade dress, AI models, and all associated intellectual property - is the exclusive property of [YOUR LEGAL ENTITY NAME]. Nothing in these Terms conveys, transfers, or licenses any ownership interest in the Platform, its underlying technology, or any Company intellectual property to you.
8.2 - User Content Ownership
You retain full ownership of all original content you create using the Platform. By using the Platform, you grant the Company a limited, non-exclusive, non-transferable license to store, process, and transmit your content solely as necessary to provide the services described in these Terms. This license terminates upon account deletion.
Account Suspension & Termination
9.1 - Termination by User
You may terminate your account at any time by initiating the account deletion workflow through your workspace settings, or by submitting a written termination request to hello@soshlpylt.com. Upon termination, your access to the Platform will cease immediately and your data will be deleted in accordance with our Privacy Policy.
9.2 - Termination or Suspension for Cause
The Company reserves the right to immediately suspend or permanently terminate your account, without prior notice and without liability, if any of the following occur:
You violate any provision of these Terms, including the Acceptable Use Policy in Section 4, as determined by the Company in its sole reasonable discretion
Your use of the Platform has resulted in, or presents a material risk of resulting in, a violation of YouTube's Terms of Service, YouTube's Community Guidelines, LinkedIn's User Agreement, or LinkedIn's API Terms of Use
You engage in abusive, threatening, harassing, or fraudulent behavior directed at any individual, organization, or the Company
You attempt to circumvent the Platform's security controls, access controls, rate limiting, or quota management mechanisms
Your account is used to generate, distribute, or broadcast unsolicited bulk content through any connected social platform
The Company receives a valid legal demand, court order, or regulatory requirement to suspend or terminate your account
The Company determines, in its reasonable judgment, that continued provision of services to your account poses a material legal, regulatory, or reputational risk to the Company or its other users
9.3 - Effect of Termination
Upon termination for any reason: (a) your license to access and use the Platform is immediately and permanently revoked; (b) all OAuth tokens for connected platforms will be revoked and cryptographically deleted; (c) your data will be purged in accordance with our Privacy Policy; and (d) any outstanding payment obligations remain due. Sections 7, 10, 11, 12, and 13 of these Terms survive termination.
Disclaimers of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
The Company does not warrant that the Platform will be uninterrupted, error-free, or free of security vulnerabilities. The Company does not warrant the accuracy, completeness, or timeliness of any analytics data presented through the Platform, as such data is retrieved from third-party APIs whose reliability is outside the Company's control.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL [YOUR LEGAL ENTITY NAME], ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR:
(A) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
(B) LOSS OF PROFITS, REVENUE, DATA, GOODWILL, AUDIENCE, OR BUSINESS OPPORTUNITIES;
(C) DAMAGES ARISING FROM OR RELATED TO THIRD-PARTY API DOWNTIME, RATE LIMITING, QUOTA EXHAUSTION, SCOPE DEPRECATION, OR POLICY CHANGES, INCLUDING BUT NOT LIMITED TO DOWNTIME OF THE YOUTUBE DATA API V3, LINKEDIN COMMUNITY MANAGEMENT API, GOOGLE OAUTH 2.0 INFRASTRUCTURE, OR LINKEDIN OAUTH 2.0 INFRASTRUCTURE;
(D) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR CONNECTED ACCOUNTS;
(E) ANY MATTER BEYOND THE COMPANY'S REASONABLE CONTROL;
REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY, AND EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL THE COMPANY'S AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
Some jurisdictions do not permit the exclusion or limitation of certain categories of damages. In such jurisdictions, our liability is limited to the maximum extent permitted by applicable law.
Indemnification
You agree to indemnify, defend, and hold harmless [YOUR LEGAL ENTITY NAME] and its officers, directors, employees, contractors, and agents from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees and court costs) arising out of or relating to:
Your violation of any provision of these Terms
Your violation of any third-party platform's terms of service or API policies, including YouTube's Terms of Service, YouTube's Community Guidelines, LinkedIn's User Agreement, or LinkedIn's API Terms of Use
Content you draft, publish, or distribute using the Platform
Your unauthorized connection of social media accounts
Your violation of any applicable law, regulation, or third-party right
Any claim by a third party that your use of the Platform harmed them
General Provisions
13.1 - Governing Law
These Terms shall be governed by and construed in accordance with the laws of [YOUR JURISDICTION], without regard to its conflict of law principles. Any legal proceedings arising from these Terms shall be brought exclusively in the courts of competent jurisdiction in [YOUR JURISDICTION], and you irrevocably consent to such jurisdiction.
13.2 - Entire Agreement
These Terms, together with our Privacy Policy and any applicable written subscription or enterprise agreement, constitute the entire agreement between you and the Company with respect to the Platform and supersede all prior agreements, understandings, representations, and warranties.
13.3 - Severability
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
13.4 - Waiver
The failure of either party to enforce any right or provision of these Terms on any occasion shall not be deemed a waiver of that right or provision on any other occasion, and shall not affect the right to enforce such provision in the future.
13.5 - Amendments
The Company may update these Terms at any time. Material changes will be communicated to you by email to your registered address or by prominent notice within the Platform no less than 14 days before the updated Terms take effect. Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance of those Terms.
